Elon Muskā€™s $56 billion pay package gets rejected again

Tesla CEO Elon Musk lost his bid to reinstate his $56 billion pay package, as a Delaware judge upheld her prior ruling that the compensation plan was improperly granted. Tesla plans to appeal, with Musk calling the ruling ā€œabsolute corruptionā€ on social media.

In January, Chancellor Kathaleen McCormick voided the pay plan, stating that Musk had undue control over Tesla and dictated the terms of his compensation to a board that failed to negotiate fairly. She criticized the approval process as ā€œdeeply flawed.ā€ Despite a June shareholder vote to ratify the plan, McCormick ruled that it couldnā€™t change the court's decision.

The ruling also included a $345 million attorney fee award for the lawyers who successfully challenged the plan on behalf of Tesla shareholders. Following the decision, Musk criticized Delawareā€™s legal system, leading Tesla to reincorporate in Texas.

Pat Gelsinger is retiring after over 40 years at Intel, including nearly four years as CEO. Effective December 1, Gelsinger stepped down from both his CEO position and the board of directors. The companyā€™s board has formed a search committee to find a new CEO, with Michelle Johnston Holthaus and David Zinsner serving as interim Co-CEOs in the meantime.
